Membership Agreement

This Member Agreement (the "Agreement") is entered into as of (date), by and between Great Yarmouth Unity Project (GYUP) CIC, a company duly organised and existing under the laws of the United Kingdom
1. Definitions
1.1. Membership
"Membership" refers to the rights and privileges granted to the Member under this Agreement.
1.2. Services
"Services" refers to the offerings, products, or benefits provided to the Member by GYUP as outlined in this Agreement.
1.3. Agreement
"Agreement" refers to this Membership Agreement, along with any amendments or modifications agreed upon by both parties.
2. Membership Rights and Responsibilities
2.1. Membership Benefits
As a GYUP member, member name enjoys many benefits, including:
- Access to exclusive services and content.
- Invitations to special events hosted by GYUP
2.2. Member Responsibilities
The Member agrees to:
- Adhere to the rules and regulations of GYUP.
- Timely update GYUP with any new contact or email details.
- Use the services provided by GYUP only for lawful purposes.
3. Payment Terms
3.1. Membership Fees
Membership of GYUP is free
4. Term and Termination
4.1. Term
This Agreement shall be effective as of the date it is signed, and shall continue in effect for an initial term of one year. Thereafter, the Agreement will automatically renew for successive one-year terms unless terminated by either party.
4.2. Termination by Either Party
Either party may terminate this Agreement upon 30 days written notice to the other party.
5. Confidentiality
5.1. Confidential Information
Both parties agree to maintain the confidentiality of any proprietary information shared during the term of this Agreement. Confidential information includes but is not limited to, membership details, business strategies, and financial information. This requirement for confidentially does not cease at termination but continues indefinitely.
5.2. Exceptions to Confidentiality
The obligations of confidentiality do not apply to information that:
- Is already in the public domain.
- The disclosing party disclosed this to third parties with prior written consent.
- It is required by law to be disclosed.
6. Limitation of Liability
6.1. Exclusion of Damages
GYUP shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the membership services, even if GYUP was advised of the possibility of such damages.
7. Governing Law and Dispute Resolution
7.1. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.
7.2. Dispute Resolution
Any dispute arising from or related to this Agreement shall be resolved through binding arbitration in the United Kingdom.
8. General Provisions
8.1. Entire Agreement
This Agreement represents the entire understanding between the parties and supersedes all prior agreements, whether written or oral, regarding the subject matter hereof.
8.2. Amendments
No amendment or modification of this Agreement shall be valid unless in writing and signed by both parties.
